Mike: When you’re looking at SPACs, what key fundamentals do you look for in a SPAC sponsor?

Candice: We look for sponsors that have experience and have done this a number of times. Track record is incredibly important. There are private equity fund managers who think it’s easy to do a SPAC, but they often don’t know the nuances. If it’s a partner like that, we want to see them aligned with experienced operators — for example, the Cohens, who have completed multiple successful SPACs. That increases the likelihood of success, even for someone new.

We try to find sponsors with strong track records, or at least partnered with those who do. SPACs are about execution. If you hire the wrong service providers or lawyers, you can get stuck in SEC comments for months. Since SPACs only have two years to close, timing and efficiency are critical. We want sponsors who can execute well and manage the process effectively.
