JOSH:

Good day, everybody. Welcome to The SPAC Podcast. We are giving you a SPAC update of what's going on in the market from the very own Michael Blankenship. Mike, ~ kick us off, man. What's going on in the world of SPACs?

MIKE:

Well, Josh, so it we had an exciting week. So last year ~ there were 144 SPAC IPOs. Entering this week, it was one behind that number. And you know, we're in late August. Now we're at 147. So we've actually surpassed last year's IPO volume, which is a big which is a big deal. shows that the market is very active. I also think there's more in that and the types of deals that are we see on the SPAC. We saw Ursa Major, ~ a defense tech company, announce a deal. So, you know, SPACs are back and I think, you know, SPAC cycle continues to improve and we're seeing a lot more experienced sponsors. We're seeing a lot more better capitalized transactions and and the target. You know, we're looking at defense, space, AI, infrastructure, and others where, you know, they need capital to grow, but may not have actually been a potential ~ IPO, traditional IPO candidate at the time, meaning they just probably didn't have the full, you know, financials, but they have a lot of upside to the growth. And so we see that happening. And, you know, I think from if you go and look at it from the front end of it, you've got the the four IPOs I mentioned today. They were all four of them were repeats. So it's, you know, ones that were the second one or the third one. And we had one that was the eighth one ~ in the series of SPACs. So continue to do that. Continue to see serial sponsors.~ and I think a lot of PIPE money is there and we continue to see that growth in the PIPE market. And that that tells a lot to me in the story of where we're seeing higher profile combinations, which people are paying attention to. And so I think ~ you know, we'll continue to, you know, plow forward. And I think these are positive updates for the market. And ~ just the commitment that that companies are having is very important.

JOSH:

When it comes to the PIPE market, you you mentioned, you know, like you you think that's a h a healthy sign for what's going on. Explain why PIPEs are a good indicator of what's going on in the in the market.

MIKE:

Yeah, so Yeah, Josh. So I think, you know, from a PIPE perspective, ~ the the deal I mentioned earlier, let's start with that, that a three hundred and fifty million dollar PIPE, which means there was a lot of validation to that two point three billion dollar market valuation. So what the PIPE does, because it prices at the ten dollars, the same as the SPAC, it validates the valuation in a in a sort of almost direct way, ~ that the market investors are seeing that they believe that that's what the but the investment valuation should be and that or the deal valuation that that that will be what what coming out when you close the de-SPAC it'll be at that value. And so it it it helps ~ again validate the the the deal itself.

JOSH:

Cool. All right. Well, what else is going on in the world of SPACs or even in your your practice specifically?

MIKE:

Yeah, I think we're starting to ~ you know continue well we're s we're we're still seeing a lot in the energy infrastructure space on the anything on the AI adjacent related thing. People are still doing those transactions. I think we'll continue to see that because those are so capital intensive. We're seeing life sciences, there's some of those as well.~ and those continue to to be ones that I I think will be you know seen in the future.~ they they certainly pay a play a big role in in the PIPE market, life science SPAC transactions. So those are are what we're working on. I think capital remains available.~ we're seeing that with our own deals.~ and so I I just think it's a good time for the market. And you know, as we get into Labor Day and get into that la last half last quarter of the year, I think there's a good signal there that we'll probably see a lot more activity.

JOSH:
